By accessing or using the EcoFreight API services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use our services.

These terms apply to all users of our services, including visitors, registered users, and enterprise customers. Different service tiers may have additional terms as specified in your service agreement.

You must be at least 18 years old and have the legal capacity to enter into agreements in your jurisdiction to use our services.

API Services

EcoFreight provides a RESTful API for calculating CO₂ emissions for freight and logistics operations. Our services include emissions calculations, route optimization suggestions, and historical analytics.

Service Availability

We strive to maintain 99.9% uptime for our API services. Scheduled maintenance will be announced in advance. Some features may be beta or experimental and are provided "as is".

Service Modifications

We reserve the right to modify, suspend, or discontinue any part of our services at any time. We will provide reasonable notice for significant changes that may affect your integration.

Third-Party Integrations

Our services may integrate with third-party providers for enhanced functionality. We are not responsible for the availability or performance of third-party services.

Account Creation

To access our API, you must create an account with accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials.

Account Security

You must notify us immediately of any unauthorized use of your account. We are not liable for losses resulting from unauthorized account access due to your actions or omissions.

API Keys

API keys are provided for authentication and must be kept secure. Do not share API keys or embed them in client-side code. Rotate keys regularly and immediately if compromised.

Account Termination

Either party may terminate the account at any time. Upon termination, your access to the API will cease, but data retention follows our Privacy Policy terms.

Permitted Uses

You may use our API to calculate emissions for legitimate business purposes, integrate with your applications, and provide sustainability insights to your customers.

Prohibited Activities

You may not: (a) reverse engineer or attempt to extract our algorithms; (b) exceed rate limits or attempt to circumvent usage restrictions; (c) use the service for illegal activities; (d) resell API access without authorization; (e) submit false or misleading data intentionally.

Rate Limits

API usage is subject to rate limits based on your subscription tier. Exceeding limits may result in temporary throttling or account suspension. Contact us for higher limits or enterprise solutions.

Data Quality

You are responsible for the accuracy of input data. While we strive for accurate calculations, results depend on the quality of provided information and our emission factor databases.

Subscription Plans

We offer various subscription tiers with different usage limits and features. Pricing is available on our website and may be updated with reasonable notice to existing customers.

Billing

Subscriptions are billed monthly or annually in advance. Usage-based fees are calculated and billed monthly. All fees are non-refundable except as required by law or as specified in your service agreement.

Payment Methods

We accept major credit cards and ACH transfers for enterprise accounts. Automatic payment renewal can be managed through your account dashboard.

Overages

Usage exceeding your plan limits may result in overage charges or service throttling. We will notify you when approaching limits and provide options to upgrade or adjust usage.

Taxes

Prices do not include applicable taxes, duties, or fees. You are responsible for all taxes associated with your use of our services, except for taxes on our income.

Our Rights

EcoFreight retains all rights, title, and interest in our API, algorithms, methodologies, and related technology. Our service is protected by copyright, trademark, and other intellectual property laws.

Your Data Rights

You retain ownership of data you submit to our API. By using our services, you grant us a limited license to process your data solely for providing our services and improving our algorithms.

Feedback and Suggestions

Any feedback, suggestions, or ideas you provide about our services become our property and may be used without restriction or compensation.

DMCA Compliance

We respect intellectual property rights and will respond to valid DMCA notices. If you believe our service infringes your copyright, please contact our designated DMCA agent.

Data Processing

We process your data according to our Privacy Policy and applicable data protection laws. Shipment data is processed for calculations and deleted after 30 days unless you opt for extended retention.

Data Security

We implement industry-standard security measures including encryption, access controls, and regular security audits. However, no system is completely secure, and you use our services at your own risk.

Data Breach Notification

In the event of a security incident affecting your data, we will notify you and relevant authorities as required by applicable laws and regulations.

International Data Transfers

Your data may be processed in countries other than your residence. We ensure adequate protection through appropriate safeguards such as Standard Contractual Clauses.

Service Warranty

Our services are provided "as is" without warranties of any kind. We do not guarantee that our service will be error-free, secure, or continuously available.

Calculation Accuracy

While we strive for accuracy, CO₂ emission calculations are estimates based on available data and methodologies. Results should not be considered as absolute measurements and may vary from actual emissions.

Third-Party Content

We are not responsible for the accuracy, completeness, or reliability of third-party data sources, integrations, or content accessible through our services.

Limitation of Liability

Our total liability for any claims arising from these terms or your use of our services shall not exceed the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

Termination Rights

Either party may terminate these terms at any time. We may suspend or terminate your account for violations of these terms, non-payment, or other legitimate business reasons.

Effect of Termination

Upon termination, your access to our services will cease immediately. Data retention and deletion follows our Privacy Policy. Prepaid fees are generally non-refundable.

Survival

Provisions regarding intellectual property, indemnification, limitation of liability, and dispute resolution survive termination of these terms.

Governing Law

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes will be resolved in the courts of Delaware or the federal courts located in Delaware.

Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of our services shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Delaware, and judgment on the arbitral award may be entered in any court having jurisdiction. This arbitration clause does not apply to: (a) disputes involving intellectual property rights; (b) claims for injunctive or equitable relief; or (c) disputes that qualify for small claims court proceedings.

CLASS ACTION WAIVER

YOU AND ECOFREIGHT AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU AND ECOFREIGHT EXPRESSLY WAIVE ANY RIGHT TO FILE A CLASS ACTION OR SEEK RELIEF ON A CLASS BASIS. If any court or arbitrator determines that the class action waiver set forth in this paragraph is void or unenforceable for any reason, then the arbitration agreement set forth above shall be deemed null and void in its entirety and the parties shall be deemed to have not agreed to arbitrate disputes.

AS-IS BASIS

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

NO GUARANTEE OF ACCURACY

ECOFREIGHT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT THE RESULTS OBTAINED FROM THE SERVICES WILL BE ACCURATE, RELIABLE, OR COMPLETE. YOU ACKNOWLEDGE THAT ANY RELIANCE ON THE SERVICES IS AT YOUR OWN RISK.

THIRD-PARTY SERVICES DISCLAIMER

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ECOFREIGHT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, REGARDING THIRD-PARTY SERVICES, INTEGRATIONS, OR DATA SOURCES USED IN CONNECTION WITH OUR SERVICES.

General Policy

All subscription fees are generally non-refundable except as expressly provided in this policy or as required by applicable law. Refunds, when available, will be processed using the original payment method within 5-10 business days.

Service Interruption Refunds

If our service experiences unscheduled downtime exceeding 24 consecutive hours due to issues within our control, you may request a pro-rated refund for the affected period. This does not include scheduled maintenance or force majeure events.

Billing Error Corrections

If you are incorrectly charged due to a billing system error, we will promptly correct the charge and refund any overpayment. You must report billing errors within 60 days of the charge appearing on your account.

Cancellation and Prorated Refunds

Upon cancellation, no refunds will be provided for unused portions of prepaid subscription periods, except where required by law. Enterprise customers may have different terms as specified in their service agreement.

Estimates Only

All CO₂ emission calculations provided through our API are estimates based on available data, industry standards, and established methodologies. These calculations are not precise measurements and should not be considered as absolute or definitive values of actual emissions.

Data Dependencies

The accuracy of our calculations depends on the quality, completeness, and accuracy of the input data you provide, as well as third-party data sources and emission factors. We cannot guarantee the accuracy of calculations based on incomplete or inaccurate input data.

Methodology Limitations

Our calculation methodologies are based on industry-standard approaches and may not account for all variables that could affect actual emissions. Real-world conditions may differ significantly from the assumptions used in our calculations.

Professional Advice Disclaimer

Our calculations should not be used as the sole basis for business decisions, regulatory reporting, or compliance purposes without additional verification. We recommend consulting with qualified environmental professionals for critical applications.

Continuous Improvement

We continuously work to improve our calculation accuracy and methodologies. However, we do not guarantee that future improvements will be retroactively applied to historical calculations unless explicitly stated.

Entire Agreement

These terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and EcoFreight regarding our services.

Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Assignment

You may not assign these terms without our written consent. We may assign these terms in connection with a merger, acquisition, or sale of assets.

Updates to Terms

We may update these terms from time to time. Material changes will be communicated by email and through our platform. Continued use of our services after updates constitutes acceptance of the new terms.
